WRITE8 ACADEMY — TERMS OF SERVICE

Effective Date: January 1st, 2026

These Terms of Service ("Terms") are a legally binding agreement between Sonne Technology, Inc., a Delaware corporation ("Company," "we," "us," "our") and you ("you," "User"). These Terms govern your access to and use of the Write8 Academy service, including any Discord server(s), bots, web pages, and related features offered by the Company (collectively, the "Service" or "Platform").

IMPORTANT: THE SERVICE USES ARTIFICIAL INTELLIGENCE. AI-GENERATED OUTPUTS MAY BE INACCURATE OR MISLEADING. DO NOT RELY ON OUTPUTS FOR HIGH-STAKES DECISIONS.

1. THE SERVICE

1.1 Educational Tool. Write8 Academy is a learning tool intended to help users practice and improve English writing. Users may submit photos/scans of handwritten essays and receive AI-generated feedback ("Outputs"), including text feedback, AI-generated audio/podcast feedback, and personalized lesson content (including short-form video-style lessons).

1.2 No Guaranteed Outcomes. We do not guarantee any particular result (including grades, test scores, admissions results, employment outcomes, or proficiency improvement). Your progress depends on many factors beyond our control.

1.3 Changes. We may modify, suspend, or discontinue any part of the Service at any time. Features, models, pricing, and required Credits (defined below) may change.

2. ELIGIBILITY; AGE; GUARDIAN CONSENT

2.1 Not for Children Under 14. The Service is not intended for children under 14, and children under 14 may not use the Service. If you are under 14, do not use the Service and do not submit any Content.

2.2 Users 14–17 (Minor Users). If you are between 14 and 17 years old (a "Minor User"), you may use the Service only with the consent and supervision of a parent or legal guardian ("Guardian"). By allowing a Minor User to use the Service, the Guardian agrees to these Terms on behalf of the Guardian and the Minor User and is responsible for the Minor User's use of the Service to the extent permitted by law.

2.3 Local Requirements. If your local law requires parental consent or sets a different minimum age for use of online services or processing of personal data, you agree not to use the Service unless those requirements are satisfied.

3. DISCORD AS USER INTERFACE; THIRD-PARTY PLATFORMS

3.1 Discord is Third-Party. The Service may be accessed through Discord. Discord is not owned or controlled by us. Your use of Discord is governed by Discord's terms and policies, and you are responsible for complying with them.

3.2 Where You Post Matters. If you submit Content in a public or shared Discord channel, it may be visible to others. You are responsible for choosing where you post. If we provide a private submission method (e.g., private channel or DM workflow), you should use it for essay uploads.

3.3 No Responsibility for Discord. We are not responsible for Discord outages, moderation actions, account bans, compromised accounts, or Discord's security practices.

4. ACCOUNTS; SECURITY; COMMUNICATIONS

4.1 Account Responsibility. You are responsible for maintaining the confidentiality of your Discord account and any credentials used to access the Service and for all activities under your accounts.

4.2 Notices. We may communicate with you via Discord, email, or in-product notices.

5. CREDITS; PURCHASES; CANCELLATION; REFUNDS

5.1 Credits. The Service is accessed using prepaid usage credits ("Credits"), sold in packages (for example, 4 Credits, 10 Credits).

5.2 One Credit = One Full Assessment Bundle. Unless stated otherwise at the time of purchase, one (1) Credit is redeemed for one complete assessment bundle, which may include: (a) automated essay assessment (text feedback), (b) AI-generated audio/podcast feedback, and (c) AI-generated personalized lesson content (including short-form video-style lessons).

5.3 No Subscription; Not Currency. Credits are prepaid access rights to the Service; they are not currency, legal tender, stored value, or property.

5.4 Pricing and Changes. Prices, package sizes, and the features included in a bundle may change. Changes apply prospectively.

5.5 Cancellation Policy. You may request cancellation of your purchased Credit package(s) at any time by contacting us at info@sonne.technology with your Discord ID and purchase details. Upon receipt of a valid cancellation request, we will process your cancellation in accordance with Section 5.6 below.

5.6 Refund Policy. When you cancel a Credit package in accordance with Section 5.5:

(a) Unused Credits. All unused Credits from the cancelled package(s) will be returned to your account balance and a payment reimbursement will be issued for those unused Credits, calculated on a pro-rata basis according to the original purchase price of the package.

(b) Used Credits. Credits that have already been redeemed for assessment bundles prior to the cancellation request are considered used and are not eligible for refund.

(c) Processing Time. Refunds will be processed within fourteen (14) business days of receipt of your cancellation request. Refunds will be issued to the original payment method used for the purchase. The time for the refund to appear in your account depends on your payment provider's processing times.

(d) Expired Credits. Refund requests for Credits that have already expired pursuant to Section 5.7 will be evaluated on a case-by-case basis and are subject to our sole discretion.

(e) Mandatory Consumer Rights. Nothing in this Section 5.6 limits any mandatory refund or withdrawal rights you may have under applicable consumer protection law in your jurisdiction.

5.7 Credit Expiration (12 Months; Disclosed Before Purchase). Credits expire twelve (12) months after the date of purchase (the "Expiration Date"). We will clearly disclose the applicable expiration period and/or Expiration Date before you complete your purchase and in your purchase confirmation/receipt or account page. Expired Credits have no value and cannot be redeemed.

5.8 Payment Processing. Payments may be processed by third parties. Your payment is also subject to the payment processor's terms.

6. USER CONTENT; PROHIBITED DATA; LICENSE

6.1 Content. "Content" means any essay images/photos/scans, text, prompts, messages, attachments, or other materials you submit through the Service (including via Discord).

6.2 You Own Your Content. As between you and the Company, you retain ownership of your Content, subject to the licenses you grant below.

6.3 License to Operate the Service (Required). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and create derivative works of your Content solely as necessary to:

(a) provide the Service and generate Outputs;

(b) maintain, secure, and support the Service; and

(c) comply with law and enforce these Terms.

6.4 Sensitive Data Prohibited. Do not submit: government ID numbers (including passport/SSN), financial account numbers, health/medical data, passwords/authentication credentials, precise geolocation, or personal data about other people without permission and a lawful basis. If you submit prohibited data, you do so at your own risk.

6.5 Rights and Permissions. You represent and warrant that you have all necessary rights and permissions to submit your Content and grant the licenses in these Terms. You are responsible for your Content.

6.6 Content Removal. We may remove or restrict access to Content at any time if we believe it violates these Terms, Discord rules, or applicable law.

7. AI OUTPUTS; HALLUCINATIONS; USER RESPONSIBILITY

7.1 Outputs. "Outputs" means any feedback, scores, evaluations, explanations, audio/podcasts, lessons, or other results generated by the Service.

7.2 AI May Be Wrong. Outputs are generated using automated systems and multiple AI models and may be inaccurate, incomplete, misleading, biased, offensive, or contain hallucinations.

7.3 You Must Review. You are solely responsible for reviewing and verifying Outputs before relying on them, submitting them to teachers/schools, or sharing them publicly.

7.4 Not Professional Advice; Not High-Stakes Use. Outputs are not legal, medical, financial, immigration, or other professional advice. Do not use the Service as the sole basis for high-stakes decisions (including admissions, grading decisions, disciplinary actions, employment decisions, or legal decisions).

7.5 Similarity of Outputs. You understand Outputs may be similar or identical to outputs generated for other users. You do not receive any exclusive rights in Outputs.

8. ACCEPTABLE USE; ACADEMIC INTEGRITY

You agree not to:

(a) use the Service to cheat or violate academic or institutional rules;

(b) submit confidential exam materials or other content you are not authorized to share;

(c) harass, threaten, or harm others;

(d) upload malware or attempt to disrupt the Service;

(e) scrape, bulk-export, or harvest data from the Service or our Discord server;

(f) reverse engineer, decompile, or attempt to discover source code, prompts, model configurations, or system logic (except where prohibited by law);

(g) circumvent usage limits or access controls; or

(h) use the Service in violation of law.

9. SERVICE IMPROVEMENT / TRAINING (OPT-OUT; DEFAULT INCLUDED)

9.1 Service Improvement Use (Default). By using the Service, you authorize the Company to use your Content and Outputs to operate, maintain, and improve the Service, including for quality assurance, analytics, evaluation, debugging, safety and abuse prevention, and development of new features ("Service Improvement"). This may include using Content and Outputs to improve prompts, workflows, scoring approaches, and model selection and may include working with our Subprocessors as described in the Privacy Policy.

9.2 Service Improvement Use (Default; Minor Users). By using the Service, you authorize Service Improvement use as described above. However, for Minor Users (ages 14–17), Service Improvement use may be limited or disabled by default unless and until a Guardian provides consent, as permitted by applicable law.

9.3 Opt-Out. You may opt out of Service Improvement use by following the opt-out method we make available (for example, via an in-product setting, an account setting, or by contacting us at info@sonne.technology with your Discord ID). Opt-out applies prospectively.

9.4 Effect of Opt-Out; Operational Exceptions. If you opt out, we will stop using your future Content and Outputs for Service Improvement, but we may still:

(a) process Content and Outputs as necessary to provide the Service to you (including generating Outputs);

(b) retain and use information as necessary for security, fraud prevention, abuse detection, legal compliance, enforcing these Terms, and maintaining system integrity; and

(c) retain or use aggregated or de-identified information where reasonably feasible.

9.5 Previously Used Data. If your Content or Outputs were used for Service Improvement before you opted out, we will not be able to "pull back" that use, including from models, evaluations, or internal datasets already created, to the extent permitted by law.

10. THIRD-PARTY PROVIDERS; SUBPROCESSORS

10.1 Subprocessors. The Service relies on third-party platforms and infrastructure providers to store and process data and to provide AI inference ("Subprocessors"), including Discord, Modal Labs, and Hugging Face Inference Providers, and may include cloud/application providers (e.g., Odoo Cloud) and payment processors.

10.2 Third-Party Outages. We are not liable for outages, disruptions, or changes caused by third-party services beyond our reasonable control.

11. INTELLECTUAL PROPERTY

11.1 Our IP. The Service, including software, workflows, and branding, is owned by the Company or its licensors and is protected by IP laws.

11.2 Limited License to You. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal educational purposes.

12. PRIVACY

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share information for the Website and the Service and is incorporated by reference.

13. TERMINATION

13.1 By You. You may stop using the Service at any time.

13.2 By Us. We may suspend or terminate access at any time if we reasonably believe you violated these Terms, Discord rules, or applicable law, or if your use poses a security, legal, or operational risk.

13.3 Effect. Upon termination, your right to access the Service ends. Unused Credits will be handled in accordance with the cancellation and refund provisions set forth in Section 5 and as required by applicable law, including any disclosures provided at the time of purchase and any applicable expiration terms.

14. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE OR ERROR-FREE OR THAT THE SERVICE WILL BE UNINTERRUPTED.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION; AND

(b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (II) USD $100.

Some jurisdictions do not allow certain limitations; in that case, these limitations apply to the maximum extent permitted.

16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Content; (b) your misuse of the Service; (c) your violation of these Terms, Discord rules, or applicable law; or (d) your infringement of third-party rights.

17. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

17.1 Governing Law. These Terms are governed by Delaware law, excluding conflict-of-law rules.

17.2 Arbitration. Except for small claims court cases and requests for injunctive relief relating to IP, security, or unauthorized access, you and the Company agree to resolve disputes through binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.

17.3 Class Action Waiver. Disputes must be brought on an individual basis, not as a class or representative action.

17.4 International / Mandatory Consumer Rights. If you reside in a jurisdiction that does not permit arbitration or class action waivers or provides mandatory consumer dispute rights, this Section 17 will be enforced only to the extent permitted by applicable law.

18. CHANGES TO TERMS

We may update these Terms from time to time by posting an updated version with a new Effective Date. Continued use after the Effective Date means you accept the updated Terms.

19. MISCELLANEOUS

19.1 Assignment. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

19.2 Severability. If any provision is held unenforceable, the remainder will remain in effect.

19.3 Entire Agreement. These Terms and the Privacy Policy are the entire agreement regarding the Service.
